Leo Hobby Marketplace Seller Agreement

1. Introduction

Welcome to Leo Hobby Marketplace!

This Seller Agreement (the "Agreement") outlines the terms and conditions that govern your use of our marketplace as a seller. By uploading and selling your products on Leo Hobby Marketplace, you agree to comply with this Agreement.

2. Eligibility

To become a seller on Leo Hobby Marketplace, you must:

  • Be at least 18 years old.
  • Have a valid email address.
  • For EU-based sellers: have a legally registered business.
  • For US-based sellers: be either an individual or a registered business.
  • Provide accurate and complete information about yourself and your products.

    3. Product Listings

    • Sellers are responsible for ensuring that their product listings are accurate, complete, and not misleading.
    • Product descriptions must include clear images, accurate titles, detailed descriptions, pricing, and shipping information.
    • Sellers must comply with all applicable laws and regulations, including those related to product safety, labeling, and consumer protection.

    4. Fees and Payments

    • Leo Hobby Marketplace charges a commission of 15% on each sale made through the platform. 
    • Payments to sellers will be processed via selected payment method in 14 days after shipment of the order. Sellers must provide valid payment information.

    • The United States Sales Tax will be collected by the Marketplace on behalf of sellers, while VAT collection varies by the seller’s location. For US-based sellers, VAT will be collected and managed by the Marketplace. However, EU-based sellers are responsible for collecting and remitting VAT themselves, in compliance with EU tax regulations.

      5. Order Fulfillment
    • Sellers must fulfill orders promptly and accurately.
    • Products must be shipped within 2-3 business days of receiving an order.
    • Sellers must provide tracking information for shipped orders.
    • If a seller cannot fulfill an order, they must notify the buyer and Leo Hobby Marketplace immediately and provide a refund if necessary.

    6. Returns and Refunds

    • Sellers must establish a clear return and refund policy and include it in their product listings.
    • Sellers must handle returns and refunds in compliance with their stated policy and applicable laws.
    • Leo Hobby Marketplace reserves the right to mediate disputes between buyers and sellers and may issue refunds on behalf of the seller if necessary.
    7. Prohibited Items
    • Sellers may not list or sell items that are illegal, counterfeit, stolen, or violate intellectual property rights.
    • Prohibited items include, but are not limited to, weapons, hazardous materials, and adult content.
    • Leo Hobby Marketplace reserves the right to remove immediately, without prior notice and without any liability any listings that violate this policy.

    8. Intellectual Property

    • Sellers have a right to sell the products they list on Leo Hobby Marketplace, subject to the terms and conditions of this Agreement.
    • Sellers must not infringe on the intellectual property rights of others.
    • By listing products on Leo Hobby Marketplace, sellers grant Leo Hobby Marketplace a non-exclusive, royalty-free license to use, reproduce, and display product images and descriptions for marketing and promotional purposes.

    9. Termination

    • Leo Hobby Marketplace reserves the right to terminate a seller's account at any time for any reason, including but not limited to, violations of this Agreement without any liability.
    • Sellers may terminate their account by providing written notice to Leo Hobby Marketplace with a 30-day notice period. Written cancellation must be sent to the address: sellers@leohobby.com.
    • Upon termination, sellers must cease all use of the marketplace and remove their product listings.
    10. Limitation of Liability
    • Leo Hobby Marketplace is not liable to no none for any direct, indirect, incidental, or consequential damages arising from the use of the marketplace. Leo Hobby Marketplace is also not responsible for damage caused by force majeure.
    • Sellers agree to indemnify and hold Leo Hobby Marketplace harmless from any claims, damages, or expenses arising from their use of the marketplace or their violation of this Agreement.

    11. Amendments

    • Leo Hobby Marketplace reserves the right to amend this Agreement at any time. Sellers will be notified of any changes via email or through the seller portal.
    • Continued use of the marketplace after any amendments constitutes acceptance of the new terms.

    12. Governing Law

    This Agreement shall be governed by and construed in accordance with the laws of Slovenia, without regard to its conflict of law principles.

    The competent court in Koper has jurisdiction for all possible disputes related to this contract, which will apply Slovenian law.
